именуемая далее «Компания»,
Company International Financial Community Limited, located 19
Waterfront Drive, P.O. Box 3540, Road Town, Tortola, VG 1110,
British Virgin Islands, hereinafter referred to as the Company
совместно именуемые «Стороны» заключили настоящее
трехстороннее Соглашение о нижеследующих условиях:

trilateral Agreement on the following conditions set forth here
below:
1. Сторона 1, владелец Активов, переданных Компании по
Общим условиям и положениям Договора передачи в
пользование активов WellMax и Условий использования
учётной
Записи
Клиента
WMGLP________________________________ от «____»_____20__ г.
(далее по тексту – Общие условия) добровольно и с согласия
двух других Сторон настоящего Соглашения передаёт
Стороне 2 все права и обязанности по выполнению всех
условий и положений Договора с даты, оговоренной в
настоящем Соглашении.
1. Party 1, the holder of the Assets transferred to the Company on
the General Terms and Conditions of Agreement WellMax Assets
Transfer and Terms of Use for Client Accounting Record
WMGLP-____________________________
of
__.__.20__,
(hereinafter reffered to as General Terms and Conditions) willingly
and with the consent of the other two Parties to this Agreement,
transfers to Party 2 all rights and responsibilities for the
implementation of the Agreement in the date specified in the
present Agreement.
2. Сторона 2 добровольно и с согласия двух других Сторон
настоящего Соглашения принимает на себя все права и
обязанности Стороны 1 по выполнению Общих условий, с
даты подписания настоящего Соглашения.
2. Party 2 willingly and freely as well as with the consent of the
other two Parties to this Agreement shall assume all rights and
obligations of the Party 1 with regard to implementation of the
General Terms and Conditions at the date of signing the present
Agreement.
3. Сторона 1 обязуется передать Стороне 2 к моменту
вступления в силу настоящего Соглашения всю
документацию,
необходимую
для
исполнения
вышеуказанноых Общих условий.
3. Party 1 undertakes to transfer to Party 2 by the moment of entry
of the present Agreement into force all the documentation required
for the execution of the above-mentioned General Terms and
Conditions.
4. Сторона 1 принимает на себя обязательство передать
Стороне 2 логин для удалённого доступа и пользования
учётным счётом, оформленным в Компании в соответствии
с Общими условиями. Сторона 2 формирует новый пароль
для удалённого доступа и управления учётным счётом.
4. Party 1 undertakes to transfer to Party 2 the login for the
remote access and use of the accounting record opened by the
Company in accordance with the General Terms and Conditions.
Party 2 generates new password for the remote access and
management of the accounting record.

5. При вступлении в права и обязанности по Договору
Сторона 2 заполняет от собственного имени и предоставляет
в офис Компании
- Форму клиента на оформление учётной записи (Учётного
Счёта);
- Заявление на оформление учётного счёта Клиента;
- Приложение WellMax;
являющихся неотъемлемой частью Договора.
Сторона 2 поручает Компании заменить на свои личные
данные Стороны 1 во внутренней учётной системе
компании.
5. Having accessed the rights and obligations under the Agreement
Party 2 further undertakes to fill the required data оn its own
behalf and submit to the Company’s office:
- Client Accounting Record Form;
- Client Accounting Record Application;
- Appendix WellMax;
which are the integral part of the Agreement.
Party 2 instructs the Company to replace the personal data of Party
1 in the Company’s internal accounting system.
6. Все три Стороны настоящего Соглашения добровольно
согласились считать дату настоящего Соглашения датой
передачи Стороной 1 Стороне 2 прав и обязанностей по
Общим условиям. Указанная дата является датой
вступления в силу настоящего Соглашения при условии
подписания настоящего Соглашения всеми сторонами.
6. All three Parties to this Agreement willingly agreed to consider
the date of this Agreement - the date of transfer of the rights and
obligations upon the General Terms and Conditions from Party 1
to Party 2. The specified date is the date of entry into force of the
present Agreement subject to the signing of this Agreement by all
three parties.
7. Все остальные положения Общих условий Стороны
договорились оставить без изменений.
7. All other provisions of the General Terms and Conditions the
Parties agreed to leave unchanged.
Настоящее Соглашение составлено на русском и английском
языке и подписано __.__._____ г. в трёх подлинных
экземплярах, по одному для каждой из сторон. В случае
расхождений, преимущество отдаётся английской версии.
This Agreement is made in Russian and English and signed in the
date of __.__.______ in three originals, one for each party. In case
of decripencies English version shall prevail.
